このたび、MultiNet International Inc.（以下、当社）は2024年7月1日（予定）をもちまして、

全ての事業（システムインテグレーション、DXコンサルティング、クラウド関連サービス事業）を

米国カリフォルニア州を拠点にするSTS Innovation, Inc.へ譲渡することが決定致しました。

STS Innovation, Inc.は株式会社システムサポート（東京証券取引所プライム市場 T.4396）が100%株式保有する米国法人であり、システムインテグレーションをはじめ、ビジネスプロセス・アウトソーシング、人事コンサルティング、マーケティング支援サービス等、幅広く事業を展開しております。

30年に渡り北米で日系企業様向けの総合ITソリューションプロバイダーとして築いてきた当社事業がシステムサポートグループの一員となることで、安定した財務基盤をもとに東西両海岸地区にとどまらず、米国全域や日本やカナダに拠点をお持ちのお客様に対しても両社が持つ幅広いサービスを展開し、お客様への更なる貢献に取り組んで参る所存でございます。

当社の1994年の創業からここに永年にわたり賜りましたご愛顧、ご厚情に哀心より御礼申し上げますとともに、2024年7月1日以降はSTS Innovation, Inc.のMultiNet事業部（※）として、新たな体制で引き続き皆様のご要望にお応えして参りますのでご高承の上、倍旧のご指導ご鞭撻を賜りますようお願い申し上げます。

（※）当社の社員、全事業とそれに付帯する資産はSTS Innovation, Inc.へ移管、「MultiNet」のDBAをSTS Innovation, Inc.によって申請・取得予定です。また、当社が現在提供しております各種サービス契約につきましても2024年7月以降はSTS Innovation, Inc.への移管を予定しております。契約の移行や引き継ぎにつきましては適宜担当よりご案内致しますので何卒宜しくお願い申し上げます。

尚、本件事業譲渡に関連し、お客様との各種サービス契約を含む全事業・資産のSTS Innovation, Inc.への移行が完了した後に当社の清算が予定されております。それに伴いまして当社の役員体制の変更、及び、代表者登録情報の変更手続きが行われております。

今後の体制に関しましては必要に応じて個別にご説明させて頂きます。

Dear Valued Clients,

We are writing to inform you of an important development regarding MultiNet International Inc. (hereinafter referred to as "MultiNet").

Effective July 1st, 2024, MultiNet's entire business operations, including system integration, DX consulting, and cloud-related services, will be transferred to STS Innovation, Inc., headquartered in California.

STS Innovation, Inc. is a wholly owned subsidiary of System Support Inc. (Tokyo Stock Exchange Prime Market T.4396) in Japan, specializing in system integration, business process outsourcing, human resource consulting, marketing, and other diversified business activities.

By joining the System Support group, MultiNet's longstanding business in North America will contribute to a solid financial foundation, enabling us to extend our services not only along the East and West coasts but also across the entire United States and Canada. The integration of STS Innovation's core business with MultiNet's expertise will enhance our ability to serve clients comprehensively.

We would like to express our sincere gratitude for your longstanding support and patronage since our founding in 1994.
Starting July 1st, 2024, MultiNet will operate as a division of STS Innovation, Inc., maintaining a new structure to continue meeting your needs. We sincerely hope to preserve and strengthen our existing relationships under this new arrangement.

All MultiNet employees, businesses, and assets will be transferred to STS Innovation, Inc., while we will seek to retain the "MultiNet" brand through a DBA status. Additionally, all existing service contracts will transition to STS Innovation, Inc. after July 2024. We will provide timely updates regarding the transfer of your specific contracts.

Following the successful transfer of all business operations and assets, MultiNet International Inc. will be dissolved. Concurrently, changes to the board member structure and president positions are being implemented.

Please do not hesitate to reach out if you have any questions or require further clarification regarding this transition. We greatly appreciate your ongoing support and look forward to continuing our relationship with you as part of the new MultiNet under STS Innovation, Inc.
